8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between Dewey's Pizza and you. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such jurisdictions, the liability of Dewey's Pizza shall be limited to the maximum extent permitted by applicable law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and litigation costs) arising out of or relating to:

You shall not settle any claim without the prior written consent of Dewey's Pizza.
10. Third-Party Links and Services
Our Website may contain links to third-party websites, platforms, or services that are not owned or controlled by Dewey's Pizza. These links are provided for your convenience and informational purposes only. Dewey's Pizza has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services.
We do not endorse or make any representations about third-party websites, services, or any products or services offered by such third parties. Your use of third-party websites and services is entirely at your own risk, and you should review their applicable terms and policies. We encourage you to read the terms of service and privacy policies of any third-party websites you visit.
11. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of your personal information in connection with the Services is governed by our Privacy Policy, which is available on our Website and is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
To the extent that you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as further described in our Privacy Policy. We are committed to complying with all applicable federal and state privacy laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and applicable FTC regulations governing unfair or deceptive trade practices.
12. Food Safety and Allergen Disclaimer
Dewey's Pizza takes food safety seriously and complies with all applicable federal, state, and local food safety regulations, including the Federal Food, Drug, and Cosmetic Act (FD&C Act) and regulations promulgated by the U.S. Food and Drug Administration (FDA) and applicable state health departments.
Our food products are prepared in a kitchen environment that handles common allergens including, but not limited to, wheat, gluten, dairy, eggs, tree nuts, peanuts, soy, fish, and shellfish. Cross-contamination may occur despite our best efforts. If you have a food allergy, sensitivity, or dietary restriction, you assume full responsibility for communicating such restrictions to us prior to placing your order, and Dewey's Pizza shall not be liable for any allergic reaction or adverse health consequence resulting from consumption of our products.
13. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Dewey's Pizza's principal place of business is located, without regard to its conflict of law provisions or choice of law rules.
Subject to the arbitration agreement set forth in Section 14 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services that is not subject to arbitration shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States. You irrevocably waive any objection to the laying of venue of any such proceeding in such courts and waive any claim that any such proceeding has been brought in an inconvenient forum.
These Terms are subject to all applicable federal laws and regulations of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), consumer protection laws, and applicable electronic commerce regulations.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Dewey's Pizza at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute internally within thirty (30) calendar days of receiving written notice of your complaint. If the dispute cannot be resolved informally within that period, either party may proceed to formal dispute resolution as described below.
14.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims that qualify for small claims court and except as otherwise expressly provided herein, you and Dewey's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes"), shall be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding.
The arbitration shall be administered by a recognized arbitration organization under its then-current arbitration rules, and the arbitration shall take place in the United States. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
14.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
15. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Website or Services. You may terminate your use of the Services at any time by ceasing to access our Website and, if applicable, by requesting the deletion of your account by contacting us at [email protected].
Dewey's Pizza reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to all or any part of the Website and Services, for any reason, including but not limited to:
- Violation of these Terms or any applicable law or regulation;
- Suspected fraudulent, abusive, or illegal activity;
- Upon request by law enforcement or other government agencies;
- Extended periods of inactivity;
- Business or operational reasons.
Upon termination, all rights granted to you under these Terms shall immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
16. Changes to Terms
Dewey's Pizza reserves the right to modify, revise, update, or replace these Terms of Service at any time, in our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and may, at our option, provide you with additional notice through our Website or by email.
Your continued access to or use of the Website or Services after the effective date of any revised Terms constitutes your binding acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any changes. If you do not agree with any changes to these Terms, you must discontinue your use of the Services immediately.
In cases where changes to these Terms are material and significantly affect your rights, we will make reasonable efforts to provide prominent notice. However, we are not obligated to provide individual notice for minor or clarifying updates.
17. Severability
If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect.
The parties agree that the invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent and purpose of the original provision to the extent permitted by applicable law.
18. Waiver
No failure or delay by Dewey's Pizza in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right, power, or privilege, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver by Dewey's Pizza of a breach of any provision of these Terms shall not be deemed a waiver of any subsequent breach of the same or any other provision.
19. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference herein, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Website and Services. These Terms supersede all prior and contemporaneous negotiations, representations, warranties, agreements, and understandings between you and Dewey's Pizza with respect to the subject matter hereof, whether oral or written.
No representation, undertaking, or promise shall be taken to have been given or be implied from anything said or written in negotiations between the parties prior to these Terms except as expressly stated in these Terms.
20. Force Majeure
Dewey's Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic, fire, flood, earthquake, governmental actions, civil unrest, labor disputes, telecommunications failures, power outages, supply chain disruptions, or any other event that is beyond Dewey's Pizza's reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, Dewey's Pizza shall notify you as soon as reasonably practicable and shall use commercially reasonable efforts to resume performance of its obligations as soon as possible. If the Force Majeure Event continues for a period exceeding thirty (30) days, either party may terminate the affected order or agreement without liability to the other party.
21. Electronic Communications
By using our Services, you consent to receive electronic communications from Dewey's Pizza, including but not limited to order confirmations, receipts, promotional offers, and updates regarding your account or the Services.
